Co-founders Paul Scanlan and Jeff Annison are Emmy-winning serial entrepreneurs and digital pioneers. In 1999, the duo (along with one other cofounder) started MobiTV, the first company in the U.S. to launch live streaming television on mobile phones. From 2003 to 2009, the trio grew the company into a worldwide leader in streaming media with 300+ employees, more than $100 million of VC investment, and an Emmy Award for innovation in television. 

In addition, Legion M has attracted a top-tier advisory board that includes legendary actor William Shatner, billion-dollar producer Dean Devlin, author/entrepreneur Eric Ries (author of “The Lean Startup”), and current/former executives from Netflix, Sony, Lucasfilm, Epic Games, and MGM.

HOW WE MAKE MONEY

Like many early stage companies, Legion M is not focused on short-term revenue, but on building what we believe will become long-term competitive advantages for the company. We’re willing to sacrifice short-term revenue for long-term strategic gain because we know the bets we make as a Legion of 35,000 pale in comparison to the bets we’ll be able to make as a Legion of 1,000,000.

Since Legion M was founded in 2016, the company has successfully closed 8 rounds of fundraising and built one of the largest shareholder communities in JOBS Act history. 

  1. Legion M’s share price is not set on an open market the same way a publicly traded stock is. Instead, the company sets the stock price, and the public decides whether or not they would like to buy it.
  2. In January of 2022, Legion M shareholders voted to pass a 10-for-1 stock split. The prices listed on this table are presented on a post-split basis.
  3. Beginning in Round 7, Legion M’s offerings included the opportunity to receive bonus shares as a reward, which changes the effective share price paid by the investor.

Entertainment can be extremely lucrative, but is also unpredictable. Consumer trends, technologies, and distribution models are constantly changing. Movies and TV shows are expensive bets, with budgets that can reach the tens or hundreds of millions of dollars. Every project has potential to be a breakout hit…but even the biggest names in the business sometimes strike out.

“The Return of the King” back in theaters. What does that mean for Legion M investors?

Today marks the beginning of the 20th Anniversary screenings of The Return of the King. The reception has been outstanding – what started as a single night event at a few hundred theaters has exploded into screenings at more than 1,000 theaters over 7 full days. While many of the screenings are sold out, new screens and showtimes keep popping up. If the showing you want to see is sold out, call the theater and ask them to add another screen! Especially if you have a gaggle of hobbits or orcs you can bring to the party…

Legion M is proud to be a part of this event, in partnership with Warner Bros, Fathom Events and Lost Odyssey. We put up some of the money required to get these films into theaters and partnered with Lost Odyssey to provide the bonus footage (featuring Elijah Wood) that will play in conjunction with the film. In exchange, we get a percentage of all ticket sales, meaning that Legion M earns revenue from every ticket sold.

Just as importantly, the opportunity to work with a specialty distributor like Fathom Events, a major studio like Warner Bros, and a wonderful partner like Lost Odyssey are all great steps as Legion M continues to “level up” on our quest to DO GREAT THINGS!

The business of theatrical releases has been completely upended over the past 5 years and we expect it will continue to be so for the foreseeable future. Trends that began with the rise of streaming dramatically accelerated when the entire industry shut down during the pandemic. Today, theaters are continuing to feel the effect of supply chain disruptions (the movies you see in theaters today are typically the result of what people were working on 1-3 years ago), while the “experience economy” comes roaring back with people hungry for social experiences after the isolation of COVID. These are the sort of dynamics that can be extremely disruptive for large entrenched businesses…but have potential to be great opportunities for small, nimble companies like Legion M. We’re excited to be in the mix, learning all we can and trying to make the most of it!

So with that in mind, we encourage you to take a look at the showtimes near you, round up some friends, and go see one of the most epic action adventure movies of all time the way it was meant to be seen: ON THE BIG SCREEN. It’s been 20 years since the initial release – who knows when you’ll get a chance like this again!

A couple weeks ago Legion M announced our partnership with Warner Brothers, Fathom Events, and Lost Odyssey for a 20th anniversary screening of The Lord of The Rings: The Return of the King. As part of the deal, Legion M is participating in both the risk (i.e. fronting some of the costs) as well as the reward (i.e. participating in ticket sales) of the event. We we’re also responsible for working with Lost Odyssey to create the bonus content for the event. 

Today, we’re excited to announce that based on popular demand, the number of screens and dates available is growing. What was initially envisioned as a single night event has now blossomed to a full week (Thurs 4/13 through Wed 4/19) of screenings at over 1,000 theaters across the country. And as some in Canada too!

Not every theater is showing every date, but if the screening you want to attend is sold out, or if the timing of the screening doesn’t fit in your schedule, don’t hesitate to call your theater and ask if they can add an additional screen or date. BUSINESS ANALYSIS: Evaluating of the Trajectory of Legion M Projects

Friday April 7th marks the 6 year anniversary of the release of Colossal, which was the first project Legion M ever got involved with. We thought it might be useful to share a little detail about the economics of that project, and compare it to our most recent project, You Can Call Me Bill.

Legion M’s involvement in these films has come in many different forms. We’ve played the role of financier, distributor, marketing/release partner, merchandising partner and producer. While the business model and economics of each of these roles varies dramatically, the one thing that’s been consistent is an upward trajectory – generally speaking, over time our roles within projects have gotten larger and more impactful. Each project is a stepping stone to the next, as we continually level-up to bigger and better roles. 

To illustrate, we’d like to compare the economics of Legion M’s first project (Colossal) with that of our most recent project (You Can Call Me Bill).

COLOSSAL

Colossal was Legion M’s very first project announcement, and arguably one of our most important. At that time, Legion M was just getting off the ground. Our first round had SOLD OUT with $1 million raised (the max allowable under Reg CF at the time) and while $1 million is a lot of money, it is not much when it comes to the movie business. “$1 million means nothing in Hollywood” skeptics would say. And they were right.

A lot of people assumed that Legion M would take our money and use it to make the sort of movies we could afford to make  – fan films, micro-budget movies, that sort of thing. But that was never our goal. Instead, we were talking to larger companies about how we could get a smaller piece of bigger projects. 

Our community was very small at the time (about 3,500 people, compared to over 40,000 today), and completely unproven. But we were fortunate to find a smart and innovative partner in NEON (the distributor behind Academy Award winning films like Parasite and I, Tonya), who was just starting up as well. Colossal was going to be their first release, and they agreed to partner with Legion M.

The deal was simple. We invested a small amount of money (in the range of $50K – $100K) in exchange for an agreement that paid out based on US box office results. If the movie did well Legion M stood to make money. If the movie did poorly, we could lose it all. But the economics were all proportional to the amount we invested, which meant they weren’t all that meaningful.

That’s because in a deal like this the upside is proportional to the amount of capital at risk. If you invest a hundred million dollars and get a 15% ROI, you’ve made fifteen million dollars in profit. If you invest $100,000 at that same rate, your profit is just $15,000, which is not enough to really move the needle at a company like Legion M.

That said, the strategic value of the deal was, well… colossal!. The film helped Legion M show the world – from investors and customers to partners and the rest of Hollywood – exactly the sort of projects Legion M aspired to be involved with. Colossal gave us a theatrical release to rally our burgeoning community around, and allowed us to build a case study that showcased what we could do. As our first project, we knew the value wasn’t the money we made, but the chance to get a foot in the door of an industry that is notoriously closed to outsiders.

YOU CAN CALL ME BILL

If you flash forward 6 years later, Legion M has leveled-up to a substantially larger role with You Can Call Me Bill. This is the first movie that Legion M is entirely responsible for (we developed the idea, drove it from inception to premiere, and own the rights to the final product). It’s also the first one completely financed by Legion M – not with our own cash, but by offering an innovative Fan-First Financing model that fully funded the project in less than four days. This is more than a stand-alone project – it’s a prototype for an entirely new class of Legion M projects going forward. 

Strategic value aside, it’s the economics that separate You Can Call Me Bill from Colossal. Unlike Colossal, our return for You Can Call Me Bill is not proportional to the amount of money we invested, or tied to a simple metric like US Box Office. Legion M owns a substantial piece of the film alongside the fan investors and William Shatner. That means we earn revenue from every form of distribution. In every territory in the world. In perpetuity.

As a result, the potential for return is orders of magnitude higher than Colossal. Legion M is still small enough that if You Can Call Me Bill were to become a smash hit, it could single-handedly alter the financial trajectory of the company.

To be clear, the downside is there as well. Every film is a swing of the bat, and it’s still possible that Legion M could end up striking out with You Can Call Me Bill. But in a hit driven industry like entertainment, the most important thing is quality swings at quality pitches. We feel confident that if we can continue getting pitches like You Can Call Me Bill, it’s only a matter of time before we hit a home run.

SO WHAT DOES IT ALL MEAN?

The fundamental challenge of building a startup isn’t identifying a vision for the future, but figuring out how to get there. It’s easy to imagine how an entertainment company with 1 million shareholders can change the world – the hard part is figuring out how to get from 0 to 1,000,000 shareholders. Especially in the entertainment industry, where the economics of upper echelon projects can be vastly different than those of the lower echelons.

Our goal in presenting this comparison is to provide insight into how Legion M evaluates projects, and to illustrate how the power of our community has allowed us to level up to larger and larger deals. There’s no question that You Can Call Me Bill is a better deal for Legion M than Colossal was, but we also believe that You Can Call Me Bill likely wouldn’t have been possible without Colossal. Each project is a stepping stone to the next. 

By looking at those two projects – our oldest and our most recent – as benchmarks, the trajectory of Legion M becomes clear. We’ve gone from putting up cash to take small positions in other people’s movies to earning $$ to produce films of our own. We’ve gone from having to invest to buy a seat at the table…to earning a seat at the table via our in-kind contributions…to getting paid (as producers) to sit at the table.

And the best thing is…we’re still just getting started. While Legion M has been around for just over 7 years now, we’ve raised less than $20MM, which is a tiny drop in the bucket when it comes to making movies. To put it in perspective, Legion M’s entire existence probably costs less than the first 15 minutes of a Marvel movie.

The most important thing for Legion M is what comes next. You Can Call Me Bill isn’t an endpoint, but another stepping stone along the way. The knowledge, experience, and relationships gained from past projects becomes the foundation of those yet to come (including the ones we’re working on today). More importantly, each project (and every passing day) allows us to increase the size of our community, which is the true source of Legion M’s power. The larger we get, the more powerful we become. And if we can continue on this trajectory, there’s no telling how high Legion M could go.

Special Legion M Offer for Anniversary Screening of “The Return of the King”

Legion M is proud to partner with Warner Bros, Fathom Events and Lost Odyssey for a special 20th anniversary screening of the The Lord of the Rings: The Return of the King. What are critics saying after the SXSW premiere of Legion M’s William Shatner documentary?

Good news for everyone in Legion M — You Can Call Me Bill is up to 8 reviews on Rotten Tomatoes…and is still 100% fresh!

It’s still very early, of course — the bulk of the reviews should come when the movie actually releases. That said, I think we can all be very pleased with how strong the initial reception has been. It certainly beats the alternative…

This bodes well for the film’s prospects. If nothing else, it speaks to the quality of the product we are all collectively responsible for. Not everybody is going to like it of course (this is art — we’re supposed to disagree!), but I don’t think there’s any question we’ve created a quality movie, and we should all be very proud of that.

So take a moment to bask in the glory of going 8-0 in our first 8 reviews. That streak won’t last forever, but we can relish it while it lasts!

Project Update: Get the latest on DEFIANT, Legion M’s most ambitious project to date!

If you are a long-time Legion M investor you are probably aware of our Defiant project, which centers on the remarkable true-life story of Robert Smalls. If you are a newer investor, you may not. Either way, we thought it was high time to provide an update as we’ve had a lot of recent momentum and have some exciting new assets to share.

WHO WAS ROBERT SMALLS?

If you are like a lot of people, you are aware of Robert Smalls because of a meme:



Like most memes this may sound like a bit of stretch, but if you do a bit of research you’ll find that not only is this one true – it’s only the tip of the iceberg! 

The true-life story of Robert Smalls is nothing short of astonishing. He was born into some of the cruelest circumstances imaginable, and yet as a young man of just 23 years old, he had the courage and fortitude to take control of his life – along with the lives of those he loved – and become the master of his own destiny. He went from slave-quarters to the State House and along the way, altered the course of the Civil War and forever changed the trajectory of US history.

It’s a modern day superhero story with the ability to entertain, educate and inspire. And it’s all based on a real person!

WHAT DOES LEGION M HAVE TO DO WITH THIS?

We’re trying to make this movie! Maybe even a series, as there are lot of stories to be told. It’s a hugely ambitious project – the budget for something like this is orders of magnitude higher than anything Legion M could afford to fund at our current size. To succeed we need a studio partner, and to get that we need a package of script, director, and talent that can justify the level of investment required for a project of this caliber.

Legion M Partners with Warner Bros. and Fathom Events for a 20th anniversary screening of “The Lord Of The Rings: The Return Of The King”


WHAT

Legion M is excited to partner with Fathom Events, Warner Bros., and Lost Odyssey to bring a special 20th anniversary screening of The Extended Edition of The Lord Of The Rings: The Return Of The King to a theater near you. See the triumphant conclusion to Peter Jackson’s trilogy — winner of 11 Academy Awards including Best Director and Best Picture — the way it was meant to be seen: ON THE BIG SCREEN.

WHERE/WHEN

The film will be playing at over 1,000 participating theaters across the US at 7PM local time on Thursday April 13th and Wed April 19th. Theaters in Canada will be showing the film at 7:00 PM local time on Thursday April 20.



WHAT DOES THIS MEAN FOR LEGION M?

Legion M is proud to be a part of this 20th anniversary celebration, and excited to work with Fathom Events, Warner Brothers, and Lost Odyssey. Our deal involves both the element of risk (we’re fronting some of the costs for this special engagement) and reward (we get a percentage of the ticket sales). Our hope is that Legion M can make a meaningful difference in ticket sales, and help drive some revenue for the company. 

More importantly, we see this as an important prototype for Legion M. Theatrical distribution is in a state of significant flux right now as the combined pressures of (a) at home streaming, (b) COVID, and (c) supply chain issues caused by COVID (i.e. the pipeline of new films) are causing many companies to rethink release strategies.

While this sort of disruption can wreak havoc on large entrenched players, it creates opportunities for smaller, innovative companies like Legion M. We’re eager to see what we can do for not just this release, but other potential releases in the future. We’re very interested to explore opportunities to work with Fathom, as well as studios like Warner Brothers, for the benefit of all.

Finally, it’s worth noting that as a company Legion M LOVES getting people out to theaters. Movies are better with friends, and The Return of the King is a classic that deserves to be experienced on the big screen — hopefully in a packed theater.

Premiere photos from SXSW!

Last Thursday we celebrated the World Premiere of our William Shatner Documentary, You Can Call Me Bill at SXSW. And it was EPIC!

At 92, we’re astounded by Bill’s energy and his eagerness to engage with the fans. Bill flew in early (he had to get up at 2:30 AM for a 5 AM flight out of LAX) to Austin, TX, for a full day of events, starting with a private brunch where some very lucky Legion M investors mingled with Bill and the filmmakers. Next, Bill was off to deliver the day’s keynote interview on the SXSW Stage (moderated by Alamo Drafthouse’s Tim League) before a packed audience. After an hour of stories, laughs, and a heartfelt appeal for environmental protection, Bill left the stage to a standing ovation.

After that Bill gave another interview at the SXSW Studio and answered questions for Legion M investors on a Facebook Live with Co-Founder Jeff Annison.

From there Bill and the filmmakers hosted a meet & greet hangout with investors at The Chive during an investor Happy Hour.

Then — it was SHOWTIME! Bill and the team arrived at Austin’s historic Paramount Theatre, SXSW’s largest venue, and met the crowd waiting outside.

We had so many investors in the film & Legion M attend the premiere. It was amazing to see you all!

Bill and the filmmakers walked the red carpet and made their way to their seats along with other Legion M investors & Shatner fans who turned out for the SXSW premiere.

The theater was electric as director Alexandre O. Philippe introduced the film and thanked the investors who made it possible, asking those who had contributed to the film to stand up and be recognized. When the Legion M production credit came up, the whole theater went wild!

By the time the curtain came down at the end of the film, the audience were on their feet in a standing ovation as Bill and the filmmakers took the stage for his Q&A.

After the Q&A, Bill, the filmmakers, fans, and investors headed over to The Chive to party the night away with themed cocktails like “The Rocketman.” The crowd included the stars of Evil Dead Rise, Bruce Campbell and Lily Sullivan, director Sam Raimi, and no less than FIVE people (including Bill) who have been into space. The giant slide from one floor to another, a feature of the awesome venue, was in use all night.

Well past midnight, as the incredible day came to a close, Bill said goodbye to the investors and fans, then read the first reviews to come in from Variety, RogerEbert.com, The Hollywood Reporter, Indiewire, and others. The film currently has a Rotten Tomatoes score of 100% after the major publications made their reviews.

We want to say THANK YOU to all the investors in Legion M and directly in the documentary who helped make this film happen. The premiere was the culmination of more than a year of hard work on the part of the filmmakers and to have had such a positive reception from the audience and critics bodes well as we work to find a home for You Can Call Me Bill.
